Terms of Service

By accessing or using Conformly ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service, whether as guests or registered users.

We reserve the right to update these Terms at any time. Changes will be effective upon posting, and continued use of the Service constitutes acceptance of the revised Terms.

Conformly is a Software-as-a-Service (SaaS) platform that helps organizations comply with the EU Artificial Intelligence Act (Regulation EU 2024/1689) by providing:

• Risk assessment questionnaires for AI systems
• Technical documentation generation (Annex IV)
• EU Declaration of Conformity creation (Annex V)
• Compliance tracking and deadline management
• Document storage and audit trail capabilities

The Service is not legal advice. Conformly provides tools and information to assist with compliance efforts, but you remain responsible for ensuring your own legal compliance and should consult qualified legal professionals as needed.

Account Creation: To access certain features, you must create an account by providing accurate, current, and complete information.

Account Security: You are responsible for safeguarding your account credentials and for all activities that occur under your account.

Account Termination: We may terminate or suspend your account immediately, without prior notice, for any reason, including if you breach these Terms.

Data Export: Upon account termination, you have 30 days to export your data. After this period, data may be permanently deleted in accordance with our Privacy Policy.

Subscription Plans: Conformly offers various subscription tiers with different features and usage limits as described on our Pricing page.

Payment: Subscription fees are billed in advance on a monthly or annual basis. All payments are processed through Stripe and are non-refundable except as required by law.

Price Changes: We may modify subscription prices with 30 days' notice. Existing subscribers can continue at their current rate until their next renewal.

Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period.

Overages: If you exceed your plan's limits, we will notify you and provide a grace period to upgrade before restricting access to additional features.

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to our systems
• Share your account credentials with unauthorized parties
• Use the Service for any illegal or unauthorized purpose
• Submit false or misleading information in compliance documents
• Reverse engineer or attempt to extract source code
• Resell or redistribute the Service without permission

Violation of this policy may result in immediate account suspension or termination.

Conformly IP: The Service and its original content, features, and functionality are owned by Conformly and are protected by international copyright, trademark, and other intellectual property laws.

Your Content: You retain ownership of any content you submit to the Service. By using the Service, you grant us a limited license to use, store, and process your content solely to provide the Service.

Generated Documents: Documents generated through the Service (risk assessments, technical documentation, declarations) belong to you. We do not claim ownership of the compliance documents we help you create.

Feedback: Any feedback, suggestions, or ideas you provide may be used by us without compensation or attribution.

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

Data Processing: By using the Service, you consent to the processing of your data as described in our Privacy Policy.

Data Security: We implement appropriate technical and organizational measures to protect your data, but cannot guarantee absolute security.

Data Portability: You may export your data at any time in standard formats. Upon request, we will provide your data in machine-readable format.

No Legal Advice: Conformly does not provide legal advice. The Service provides tools and information, but you remain responsible for your legal compliance.

Service Availability: We strive for high availability but cannot guarantee uninterrupted service. We may temporarily suspend the Service for maintenance or updates.

Third-Party Services: The Service may integrate with third-party services. We are not responsible for the availability or functionality of these external services.

Accuracy: While we strive for accuracy, regulatory requirements may change. You are responsible for verifying that your compliance approach meets current legal requirements.

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• CONFORMLY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM
• WE ARE NOT LIABLE FOR ANY DAMAGES RESULTING FROM REGULATORY NON-COMPLIANCE OR LEGAL PENALTIES
• SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR LIMITATIONS OF LIABILITY

You agree to indemnify, defend, and hold harmless Conformly and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney's fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Any content you submit through the Service

Governing Law: These Terms shall be governed by and construed in accordance with the laws of [Jurisdiction to be specified].

Dispute Resolution: Any disputes arising from these Terms or the Service shall be resolved through binding arbitration, except that either party may seek injunctive relief in court.

Class Action Waiver: You agree to resolve disputes individually and waive any right to participate in class action lawsuits.

Termination by Us: We may terminate your access immediately for violations of these Terms or for any other reason with or without notice.

Effect of Termination: Upon termination, your right to use the Service ceases immediately. Data retention is governed by our Privacy Policy.

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Conformly.

Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in effect.

Waiver: No waiver of any term or condition shall be deemed a further or continuing waiver of such term or any other term.

Assignment: You may not assign these Terms without our consent. We may assign these Terms without restriction.
